 Corporate

I provide companies, shareholders and directors with the full range of corporate and commercial advice. This advice includes each stage of a company’s life from incorporation, initial fund raising, incentivising staff, venture capital fund raising, acquisitions, investments, joint ventures, group reorganisations and finally through to a sale in whole or part. My experience tells me that most clients are not interested in the intricacies of the Companies Act (that is what we are here for) but are looking for clear, commercial advice and, above all, pragmatic solutions.

Recent projects include: advising on the implementation of a senior UK employee share incentive plan for a multinational corporate; the restructuring of a UK group of companies; acting for the management shareholders on an equity investment from a venture capital provider; and advising the founders of a start up on a shareholders’ agreement and funding arrangements.

 Mergers & Acquisitions

I regularly act for owner managers on the sale of their businesses and for international corporate groups on UK acquisitions.  Acting for both buyers and sellers allows me to see the deal from both sides of the table and foresee potential issues.  My role is generally as the point of contact on the negotiation and drafting of the sale and purchase agreement, managing the internal transaction team at Lewis Silkin and coordinating with the client’s other external advisers on the project.

Having worked on deals in numerous sectors I appreciate that what is important to one client may not be to another and, therefore, knowledge of the client’s business is the key to a successful transaction.

Recent projects include: advising on the acquisition of a majority stake in a leading travel company; acting on the sale of a property investment company; and advising the selling shareholders of an IT company on the acceleration of an earn out.

 Advertising & Marketing

I have considerable experience of acting for clients in the marketing and communications industry, and in particular the advertising and PR sectors.  These businesses rely heavily on the strength of their people and the relationship with their clients, and consequently negotiation of deals in these sectors tends to focus on these areas.

I have worked extensively for large multinational advertising agencies on their UK acquisitions and conversely for smaller owner managed agencies on their sales or management buy outs.  Whilst no two deals are ever the same, having this experience has enabled me to identify and predict potential traps and find creative solutions for clients who work in these sectors.

 Sport

I act for top level football clubs, rugby clubs, agents, players and investors in football.  My expertise includes buying and selling clubs, player transfers, sponsorship, representation and services contracts, endorsement contracts, financing deals, football regulation and investment in football clubs and players. I have negotiated with many leading European football clubs and regularly provide articles and comment to the press on football governance and finance.

Recent projects include: acting for various offshore funds on their investment in over 20 players at Spanish, Portuguese and Turkish football clubs; acting for Premier League clubs on player transfers; acting for a leading UK football agency on its representation contracts; and advising a leading rugby agency on its expansion into New Zealand.
