 Mergers & Acquisitions

I have over 20 years’ experience in advising companies, both public and private, and individuals running owner managed businesses, on the sale and purchase of companies and businesses, including MBOs and MBIs, across a wide range of sectors including marketing services, technology and digital. Transactions are increasingly multi-jurisdictional, involving working closely not only with the other specialists within the Firm, in particular tax, employment and real estate but also with correspondent law firms in Europe, the US and the Far East.

Recent transactions include: acting for the sellers on the sale of a software company to a US quoted buyer; advising a French quoted company on its recommended offer for a UK PLUS-quoted marketing services company and acting for an AIM quoted company on three acquisitions (involving multiple jurisdictions) and its syndicated bank re-financing.

 Corporate

I regularly advise individuals and companies on the setting up of new businesses, including what business structure is most appropriate to their requirements, and helping them prepare the appropriate constitutional documentation and, where relevant, shareholders’ agreement or LLP agreement. This is often tied in with initial seed funding from business angels or venture capitalists specialising in early stage financings.

 Technology & Digital

I act for a number of companies in the digital commerce sector from start ups to well-established growth companies seeking expansion finance for the next stage of their development. I advise them on their day-to-day corporate legal requirements, working closely with colleagues in the Media, Brands and Technology department, as well as on raising finance, both introducing them to sources of finance as well as acting for them when capital is raised.

Recent transactions I have been involved in include: acting for a company providing a web based video production, storage and distribution platform on its equity investment by two UK venture capital investors; acting for a company providing online restaurant booking services on a venture debt funding from a US venture capital fund and a subsequent equity raise from UK venture capital investors; and advising a UK online spa business on its equity investment from a US private equity house.

 Advertising & Marketing

I regularly advise both publicly-quoted and private company clients, and individuals running owner managed businesses, in the marketing services sector on share and business acquisitions and disposals. Typically in this sector, transactions involve complicated earn out arrangements or complex put and call option arrangements involving working closely with tax colleagues to ensure the most tax efficient structure.

Recent projects on which I have been involved include: advising a French quoted company on its recommended offer for a UK PLUS-quoted marketing services company and acting for an AIM quoted company on three acquisitions (involving multiple jurisdictions) and its syndicated bank re-financing.

 Natural Resources & Utilities

I specialise in advising companies in the natural resources sector on both pre-IPO fundraisings and IPOs on all UK markets, and, once quoted, on their ongoing corporate legal requirements including mergers and acquisitions and strategic joint ventures.

Recent projects include advising:  an AIM listed oil company on an attempted boardroom coup by significant minority shareholders; a Guernsey private company on its offer for an AIM quoted natural resources company with assets in the Far East; and a US venture capital firm on its new green energy fund.
